This update reviews developments in seller and buyer activity, goodwill values, and gross profit margins, while also offering insights into how the market is expected to perform over the year ahead.

2025 has been a notable year for Hutchings Consultants, with Welsh pharmacy sales increasing to more than ten times last year’s total. This growth has been supported by heightened corporate activity and a steady flow of opportunities across South Wales’ key population centres.

Buyer demand remains strong, ranging from first-time purchasers entering the market to established pharmacy groups expanding their portfolios.

Seller and Buyer Activity

Hutchings Consultants has experienced more than a tenfold increase in completed Welsh pharmacy disposals in 2025 year to date, compared to 2024, driven by corporate and multiple pharmacy transactions. This surge has been fuelled by a wave of opportunities, primarily located in the more densely populated areas of South Wales attracting significant interest from a diverse range of buyers – from first-time purchasers seeking their initial foothold in pharmacy ownership, to larger, financially stronger group operators looking to strategically expand their portfolios. Year to date, 81% of all pharmacy sales have been to group buyers, with the remaining 19% split evenly between first-time buyers and existing independent owners expanding their presence. The acquisition of 24 Avicenna pharmacies in Wales by the Knight’s group who are  predominantly based across the border in England is evidence that buyers outside of Wales remain keen to acquire when a suitable opportunity arises.

Following patterns seen in recent years, particularly during the sale of Lloyds pharmacies, Hutchings experienced a notable influx of corporate and multiple pharmacy disposals entering the market in late Q4 2024 and early Q1 2025. This comparatively high volume of opportunities has expanded choice for buyers, but simultaneously diluted demand for independent pharmacies across Wales.

As a direct consequence, Hutchings has observed slight downward pressure on average sale prices when compared to previous years. However, this pressure has been partially offset by the recent stabilisation, and more notably, the reduction of Bank of England base interest rates easing cost of borrowing concerns, which has restored buyer confidence and encouraged stronger engagement and offer activity.

Another factor influencing market behaviour is the increase in average turnover of pharmacies being sold. While higher turnover businesses may appeal to a segment of the market, they also reduce the pool of financially capable buyers, particularly first-time buyers, which in turn has led to less competitive bidding environments and fewer offers per sale, on average. So far in 2025, the range of Goodwill sale prices achieved for both independent and multiple pharmacy sales have varied between £0.48 and £0.80 per £1 of turnover, with the combined average settling at £0.73.

Despite continued challenges caused by medicine supply shortages and the resulting upward pressure on drug costs, recent data from completed pharmacy sales indicate a positive trend. The average gross profit margin percentage has increased to 34.5% in 2025 so far, compared to 32.2% in 2024. This improvement could be attributed to a stronger focus by contractors on the buying function within their business. Additionally, the shift towards a more services-oriented pharmacy contract may appear to be delivering tangible financial benefits, contributing to the overall enhancement in gross profit margins.

Analysis of Hutchings’ own data reveals a significant shift in the Welsh pharmacy sales market between 2024 and 2025 (Year to Date). In 2024, the average turnover of completed sales was £553,250, positioning pharmacies as relatively more affordable opportunities. This pricing level aligned well with the financial capacity of first-time buyers, who continue to make up a substantial portion of the active buyer pool. As a result, we saw an increase in buyer activity, along with a higher average number of offers per opportunity, indicating strong competition. However, in 2025 YTD, the average turnover of completed sales has surged to £948,819—an increase of nearly 72%. This sharp rise has placed most opportunities beyond the typical financial reach of first time buyers, leading to reduced competition and a lower volume of offers per sale.

Market Outlook

With around 1.6 million people contacting their GP practice for health services each month, community pharmacies in Wales are playing an increasingly vital role in relieving pressure on the wider NHS. Under the ambitions of Presgripsiwn Newydd – A New Prescription, there is growing emphasis on pharmacies delivering clinical services, preventative care, and medication management, creating new opportunities for contractors.
This evolution in service provision marks a significant step forward for the sector, but adequate funding and resource allocation remain critical to unlocking its full potential. The Welsh Government’s £6 million ‘stability payment’, announced earlier this year, provided some welcome support, helping contractors manage cost-of-living and wage inflation pressures, but greater funding provision is still needed to support the sector further.
Despite these ongoing challenges the pharmacy sales market in Wales has remained active throughout 2025, with corporate and multiple disposals dominating activity. This trend is expected to continue into next year, as larger operators continue to streamline and realign their portfolios with broader strategic goals.
Amid this backdrop, well-run, established independent community pharmacies are still sought after. Buyer demand is particularly strong for pharmacies offering growth potential in clinical service delivery, especially where there is scope
to introduce or expand Independent Prescriber (IP) services or enhance participation in the Common Ailments Scheme.
Looking ahead, we expect average goodwill values in Wales to remain stable as we anticipate the number of pharmacies entering the market is likely to return to more traditional levels, creating a more balanced landscape for both buyers and
sellers.
